C\u2019est une garantie pour le dirigeant d\u2019entreprise qui souhaite s\u2019assurer de l\u2019exclusivit\u00e9 professionnelle de ses salari\u00e9s.<\/p>\n<p style=\"text-align: justify;\">Tr\u00e8s similaire au contrat de non-concurrence, il s\u2019agit en fait du seul moyen l\u00e9gal permettant d\u2019obtenir une garantie efficace que le salari\u00e9 travaille uniquement pour votre seule entreprise, gr\u00e2ce \u00e0 l\u2019insertion d\u2019une clause dans le contrat de travail.<\/p>\n<p style=\"text-align: justify;\">Valoxy, cabinet d&rsquo;expertise comptable dans les Hauts de France, explique dans cet article comment fonctionne cette clause.<\/p>\n<h2 style=\"text-align: justify;\">Qu\u2019est-ce qu\u2019une clause d\u2019exclusivit\u00e9\u00a0?<\/h2>\n<p style=\"text-align: justify;\">La clause d\u2019exclusivit\u00e9 est une clause qui est inscrite dans le contrat de travail. Elle\u00a0 stipule que si le salari\u00e9 s\u2019engage dans l\u2019entreprise, il ne devra travailler que et uniquement que pour l\u2019employeur, sans possibilit\u00e9 d\u2019avoir un travail en parall\u00e8le. Cette clause interdit donc le cumul d\u2019activit\u00e9 professionnelle.<\/p>\n<p style=\"text-align: justify;\"><img decoding=\"async\" class=\"wp-image-13381 alignleft\" src=\"https:\/\/valoxy.org\/blog\/wp-content\/uploads\/2016\/03\/r\u00e9diger-un-courrier-1-gimp-70-300x149.jpg\" alt=\"r\u00e9diger un courrier 1 gimp 70\" width=\"191\" height=\"95\" \/>Il existe \u00e9videmment des cas o\u00f9 l\u2019insertion de cette clause est impossible. L\u2019employeur doit \u00eatre prudent car il existe des conditions de validit\u00e9 tr\u00e8s pr\u00e9cises. En effet, cette clause doit par exemple faire l\u2019objet d\u2019un \u00e9crit, sign\u00e9 par les deux parties au contrat de travail. Une autre condition de validit\u00e9 est que le salari\u00e9 soit en droit de la refuser.<\/p>\n<h2 style=\"text-align: justify;\">Quels sont les avantages et les inconv\u00e9nients\u00a0?<\/h2>\n<h3 style=\"text-align: justify;\">Les avantages<\/h3>\n<p style=\"text-align: justify;\">Cette clause est tr\u00e8s avantageuse, si on veut s\u2019assurer de la loyaut\u00e9 d\u2019un salari\u00e9. Elle vise \u00e9videmment \u00e0 \u00e9viter tout risque de concurrence, et garantit que le salari\u00e9 n&rsquo;ira pas travailler chez un autre employeur, ou qu\u2019un salari\u00e9 ne conclue plusieurs contrats de travail simultan\u00e9ment.<\/p>\n<h3 style=\"text-align: justify;\">Les inconv\u00e9nients<\/h3>\n<p style=\"text-align: justify;\"><img decoding=\"async\" class=\"wp-image-11790 alignleft\" src=\"https:\/\/valoxy.org\/blog\/wp-content\/uploads\/2015\/10\/ok-pas-daccord-gimp-70-216x300.jpg\" alt=\"La clause d'exclusivit\u00e9\" width=\"126\" height=\"175\" \/>Lorsque les conditions de validit\u00e9 ne sont pas respect\u00e9es, le salari\u00e9 peut revendiquer son opposabilit\u00e9 (dans certains cas tr\u00e8s pr\u00e9cis), et obtenir gain de cause. L\u2019employeur devra alors lui verser des dommages et int\u00e9r\u00eats si une des conditions de validit\u00e9 n\u2019a pas \u00e9t\u00e9 respect\u00e9e, ou \u00e9tait consid\u00e9r\u00e9e nulle au moment des faits.<\/p>\n<p style=\"text-align: justify;\">Par ailleurs, des d\u00e9rogations \u00e0 cette clause sont possibles, si l\u2019employ\u00e9 obtient l\u2019autorisation d\u2019exercer d\u2019autres activit\u00e9s r\u00e9mun\u00e9r\u00e9es avec un accord \u00e9crit donn\u00e9 par son employeur (voir plus bas).<\/p>\n<h2 style=\"text-align: justify;\">Les sanctions possibles en cas de non-respect<\/h2>\n<p style=\"text-align: justify;\">Le salari\u00e9 encourt de lourdes sanctions en cas de non-respect de cette clause. Cela peut aller de la simple sanction disciplinaire au licenciement pour faute simple ou faute grave, surtout s&rsquo;il a d\u00e9j\u00e0 eu une mise en demeure auparavant (si le salari\u00e9 avait d\u00e9j\u00e0 \u00e9t\u00e9 sanctionn\u00e9 auparavant pour \u00eatre parti travailler chez un concurrent malgr\u00e9 la pr\u00e9sence de cette clause, par exemple).<\/p>\n<p style=\"text-align: justify;\">Par ailleurs, en cas de non-respect de ces conditions de validit\u00e9, il y aura nullit\u00e9 et inopposabilit\u00e9 de la clause.<\/p>\n<h2 style=\"text-align: justify;\">Le salari\u00e9 peut-il d\u00e9roger \u00e0 cette clause\u00a0?<\/h2>\n<p style=\"text-align: justify;\">Il existe des cas dans lesquels le salari\u00e9 peut\u00a0d\u00e9roger \u00e0 cette clause:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Si le salari\u00e9 a re\u00e7u une autorisation \u00e9crite de son employeur,<\/li>\n<li>Si le salari\u00e9 travaille \u00e0 temps partiel, la clause d\u2019exclusivit\u00e9 est interdite par un arr\u00eat de la chambre sociale de 2002, car cela porterait atteinte au principe de la libert\u00e9 du travail. N\u00e9anmoins, depuis 2004, c\u2019est possible, dans certains cas, en fonction des activit\u00e9s du salari\u00e9, notamment si son poste rend \u00ab\u00a0n\u00e9cessaire l\u2019interdiction d\u2019exercer une autre activit\u00e9.\u00a0\u00bb<\/li>\n<li>Si le salari\u00e9 reprend ou cr\u00e9e une entreprise. La clause est alors sans effet pendant un an.<\/li>\n<li>Si le salari\u00e9 b\u00e9n\u00e9ficie d\u2019un cong\u00e9 ou d\u2019un temps partiel pour cr\u00e9ation d\u2019entreprise.<\/li>\n<li>Si le salari\u00e9 est b\u00e9n\u00e9vole par ailleurs, cette clause n\u2019est pas applicable.<\/li>\n<\/ul>\n<h2 style=\"text-align: justify;\">Comment r\u00e9diger cette clause<\/h2>\n<p style=\"text-align: justify;\">La clause doit \u00eatre obligatoirement \u00e9crite dans le contrat de travail ou dans un avenant au contrat de travail. Il faut expliquer \u00e0 l\u2019\u00e9crit les raisons de l\u2019insertion de cette clause. Elle doit \u00eatre pr\u00e9cise et d\u00e9finir clairement le p\u00e9rim\u00e8tre de l\u2019exclusivit\u00e9 du salari\u00e9.<\/p>\n<p style=\"text-align: justify;\">S\u2019il s\u2019agit d\u2019une clause rajout\u00e9e dans le contrat (modification du contrat), elle doit \u00eatre accept\u00e9e au pr\u00e9alable par le salari\u00e9 pour \u00eatre valable.<\/p>\n<h2 style=\"text-align: justify;\">Les conditions<\/h2>\n<p style=\"text-align: justify;\">Voici les conditions de validit\u00e9 de la clause\u00a0:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Elle doit \u00eatre\u00a0indispensable \u00e0 la protection\u00a0des int\u00e9r\u00eats l\u00e9gitimes de l\u2019entreprise,<\/li>\n<li>Elle doit \u00eatre\u00a0\u00ab\u00a0proportionn\u00e9e\u00a0au but recherch\u00e9\u00a0\u00bb,<\/li>\n<li>Enfin, la clause doit \u00eatre justifi\u00e9e par la nature des fonctions du salari\u00e9.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">En ce sens, cette clause est diff\u00e9rente de la clause de non-concurrence car les conditions de validit\u00e9 ne sont pas les m\u00eames.<\/p>\n<h2 style=\"text-align: justify;\">Quelle est la dur\u00e9e de la clause d\u2019exclusivit\u00e9 ?<\/h2>\n<p style=\"text-align: justify;\">La clause d\u2019exclusivit\u00e9 s\u2019applique pendant toute la dur\u00e9e d\u2019ex\u00e9cution du contrat de travail, et jusqu\u2019\u00e0 son terme. En ce sens, cette clause est diff\u00e9rente de la clause de non-concurrence.
