Le fonds de commerce n\u2019est autre qu\u2019un bien et il peut donc faire l\u2019objet de diff\u00e9rents contrats. <span class=\"exergue\"><strong>S\u2019il peut \u00eatre vendu, il peut \u00e9galement \u00eatre donn\u00e9 en location.\u00a0<\/strong><\/span>Valoxy, cabinet d&rsquo;expertise comptable dans les Hauts-de-France, fait le point sur l&rsquo;exploitation d&rsquo;un fonds de commerce en location g\u00e9rance.<\/p>\n<figure id=\"attachment_4350\" aria-describedby=\"caption-attachment-4350\" style=\"width: 221px\" class=\"wp-caption aligncenter\"><img decoding=\"async\" class=\"wp-image-4350 \" src=\"https:\/\/valoxy.org\/blog\/wp-content\/uploads\/2013\/06\/entreprise-individuelle-300x217.png\" alt=\"La location-g\u00e9rance du fonds de commerce\" width=\"221\" height=\"160\" \/><figcaption id=\"caption-attachment-4350\" class=\"wp-caption-text\">La location-g\u00e9rance du fonds de commerce<\/figcaption><\/figure>\n<h2><span style=\"color: #008000;\"><strong>Les acteurs dans la location-g\u00e9rance d\u2019un fonds de commerce<\/strong><\/span><\/h2>\n<p>Comme dans tout contrat de location, <span class=\"exergue\"><strong>on va retrouver un bailleur, le propri\u00e9taire du fonds de commerce, et un locataire qui en sera l\u2019exploitant.<\/strong><\/span><\/p>\n<div class=\"encadre-style\"><strong>Attention\u00a0<\/strong>: il ne s\u2019agit pas ici de louer (ou de sous-louer) l\u2019immeuble dans lequel le fonds de commerce est exploit\u00e9 mais bien le fonds lui-m\u00eame. <span class=\"exergue\"><strong>C\u2019est le fonds de commerce en tant qu\u2019universalit\u00e9 qui est l\u2019objet du contrat de location<\/strong><\/span>.<\/div>\n<h3><span style=\"text-decoration: underline;\">Le propri\u00e9taire du fonds de commerce <\/span><\/h3>\n<p>Le propri\u00e9taire, pour pouvoir donner son fonds de commerce en location-g\u00e9rance, <span class=\"exergue\"><strong>doit<\/strong><\/span> <span class=\"exergue\"><strong>avoir exploit\u00e9 le fonds pendant au moins 2 ans.<\/strong><\/span><\/p>\n<div class=\"encadre-style\">A noter que ce d\u00e9lai peut \u00eatre r\u00e9duit ou supprim\u00e9 par le juge \u00e0 la demande de l\u2019int\u00e9ress\u00e9. On pense par exemple \u00e0 un mineur qui aurait h\u00e9rit\u00e9 d\u2019un fonds qu&rsquo;il ne pourrait exploiter personnellement.<\/div>\n<p>Le propri\u00e9taire a une <span class=\"exergue\"><strong>obligation de non-concurrence<\/strong><\/span> envers le locataire-g\u00e9rant qui doit pouvoir b\u00e9n\u00e9ficier d\u2019une jouissance paisible du fonds de commerce. Il est en revanche\u00a0<span class=\"exergue\"><strong>libre de c\u00e9der ou de nantir le fonds de commerce<\/strong><\/span>.\u00a0Enfin, le propri\u00e9taire du fonds donn\u00e9 en location-g\u00e9rance <span class=\"exergue\"><strong>doit se faire radier du <a title=\"Qu\u2019est-ce que le RCS ?\" href=\"https:\/\/valoxy.org\/blog\/rcs-registre-commerce-societes\/\" target=\"_blank\" rel=\"noopener noreferrer\">RCS<\/a><\/strong><\/span>.<\/p>\n<h3><span style=\"text-decoration: underline;\">Le locataire-g\u00e9rant<\/span><\/h3>\n<p><span class=\"exergue\"><strong>Le locataire-g\u00e9rant va exploiter le fonds de commerce \u00e0 ses risques et p\u00e9rils<\/strong><\/span>. L\u2019exploitation du fonds est m\u00eame une obligation pour le locataire-g\u00e9rant. Dans le cas contraire, cela pourrait conduire \u00e0 une disparition de la client\u00e8le (et donc du fonds lui-m\u00eame). Il l&rsquo;exploite ensuite \u00e0 ses risques et p\u00e9rils, c&rsquo;est \u00e0 dire qu\u2019il sera redevable de l\u2019\u00e9ventuelle perte de valeur subie par le fonds de commerce.<\/p>\n<p>Comme tout locataire, <span class=\"exergue\"><strong>il va verser un loyer (redevance)<\/strong><\/span> au propri\u00e9taire du fonds exploit\u00e9.<\/p>\n<div class=\"encadre-style\">Il est \u00e0 noter cependant que cette redevance n\u2019est pas obligatoire. Les parties sont libres d\u2019en pr\u00e9voir une ou non.<\/div>\n<p>Le locataire-g\u00e9rant va \u00e9galement <span class=\"exergue\"><strong>devoir s\u2019immatriculer au RCS<\/strong><\/span> (ou au r\u00e9pertoire des m\u00e9tiers pour les artisans).\u00a0Enfin, p\u00e8se sur le locataire-g\u00e9rant une <span class=\"exergue\"><strong>obligation de restitution du fonds<\/strong><\/span>, et il lui est donc interdit de le sous-louer.<\/p>\n<h2><span style=\"color: #008000;\"><strong>Les sp\u00e9cificit\u00e9s du contrat de location-g\u00e9rance<\/strong><\/span><\/h2>\n<p><img decoding=\"async\" class=\"alignright wp-image-3364 \" src=\"https:\/\/valoxy.org\/blog\/wp-content\/uploads\/2013\/05\/cout-de-revient-300x289.png\" alt=\"La location-g\u00e9rance du fonds de commerce\" width=\"175\" height=\"169\" \/><\/p>\n<p>Les contrats qui vont \u00eatre conclus par le locataire-g\u00e9rant lors de son exploitation ne seront pas repris automatiquement par le propri\u00e9taire \u00e0 la fin de la location. <span class=\"exergue\"><strong>Il faudra pr\u00e9voir la reprise des contrats n\u00e9cessaires \u00e0 l\u2019exploitation<\/strong><\/span> sinon le propri\u00e9taire devra en conclure de nouveaux lorsqu\u2019il r\u00e9cup\u00e8rera son fonds.<\/p>\n<p>Le locataire-g\u00e9rant du fonds de commerce est le responsable de l\u2019exploitation envers les tiers. (il exploite \u00e0 ses risques et p\u00e9rils). N\u00e9anmoins,<span class=\"exergue\"><strong> il y a solidarit\u00e9 entre lui et le propri\u00e9taire pour les dettes n\u00e9es lors des 6 premiers mois d\u2019exploitation.<\/strong><\/span><\/p>\n<div class=\"encadre-style\"><strong>Attention\u00a0<\/strong>: Pour l\u2019obligation de solidarit\u00e9, la date \u00e0 prendre en compte est la <span class=\"exergue\"><strong>date de naissance de la dette<\/strong><\/span>. Cela peut donc \u00eatre plus long que 6 mois.<\/div>\n<p><span class=\"exergue\"><strong>Le locataire-g\u00e9rant n\u2019aura aucun droit \u00e0 l\u2019\u00e9gard de l\u2019immeuble dans lequel est exploit\u00e9 le fonds<\/strong><\/span>. Par exemple, le droit au renouvellement du bail commercial appartient toujours au propri\u00e9taire. Ce sera donc \u00e0 lui d\u2019en faire la demande.<\/p>\n<p>Enfin, <span class=\"exergue\"><strong>le locataire-g\u00e9rant n\u2019a pas non plus de droit d\u2019opposition lorsque le propri\u00e9taire d\u00e9cide de c\u00e9der ou de nantir son fonds de commerce.<\/strong><\/span><\/p>\n<h2><span style=\"color: #008000;\"><strong>L\u2019expiration du contrat de location-g\u00e9rance<\/strong><\/span><\/h2>\n<p>Le contrat de location-g\u00e9rance va \u00e9galement produire des effets sp\u00e9cifiques lorsqu\u2019il arrive \u00e0 terme.<\/p>\n<p>Tout d\u2019abord,<span class=\"exergue\"><strong> le locataire-g\u00e9rant ne poss\u00e8de pas de droit au renouvellement de la location-g\u00e9rance<\/strong><\/span>. Lorsque le contrat arrive \u00e0 \u00e9ch\u00e9ance, il n\u2019a aucun recours.<\/p>\n<p>Ensuite,<span class=\"exergue\"><strong> les obligations contract\u00e9es par le locataire-g\u00e9rant ne se transmettent pas au propri\u00e9taire<\/strong><\/span> lorsque ce dernier r\u00e9cup\u00e8re son fonds.<\/p>\n<div class=\"encadre-style\">A noter que pour prot\u00e9ger le propri\u00e9taire, les obligations contract\u00e9es par l\u2019exploitant deviennent imm\u00e9diatement exigibles de sorte que ce dernier ne disparaisse pas dans la nature.<\/div>\n<p>Enfin, <span class=\"exergue\"><strong>le locataire-g\u00e9rant sera \u00e9galement redevable des moins-values<\/strong><\/span> \u00e9ventuellement subies par le fonds de commerce.
