Ces difficult\u00e9s peuvent avoir des raisons \u00e9conomiques, financi\u00e8res, ou encore juridiques. Qu&rsquo;en est il du risque du dirigeant en proc\u00e9dure collective ?<\/p>\n<p>Le droit des proc\u00e9dures collectives est assez cl\u00e9ment en France. Au sens o\u00f9 l&rsquo;on ne tiendra pas rigueur \u00e0 un dirigeant (personne physique) dont l\u2019entreprise conna\u00eet des difficult\u00e9s si celles-ci sont d\u2019ordre conjoncturel. En revanche, <span class=\"exergue\"><strong>si l\u2019entreprise est en difficult\u00e9s \u00e0 cause d\u2019une mauvaise gestion, voire d\u2019une gestion frauduleuse, la responsabilit\u00e9 du dirigeant peut \u00eatre recherch\u00e9e. Ce dernier risquera diverses sanctions, aussi bien professionnelles que p\u00e9nales.<\/strong><\/span><\/p>\n<p class=\"p1\"><span class=\"s1\">Valoxy, cabinet d\u2019expertise comptable dans les Hauts de France, proc\u00e8de dans cet article \u00e0 un tour d\u2019horizon des sanctions encourues.<\/span><\/p>\n<h2><span style=\"color: #008000;\"><strong>Quels sont les dirigeants concern\u00e9s\u00a0?<\/strong><\/span><\/h2>\n<p><span class=\"exergue\"><span style=\"color: #333300;\">Sont concern\u00e9s<\/span><strong> les repr\u00e9sentants l\u00e9gaux d\u2019entreprises en liquidation ou <a title=\"La proc\u00e9dure de redressement judiciaire\" href=\"https:\/\/valoxy.org\/blog\/redressement-judiciaire-24122014avalchrib\/\" target=\"_blank\" rel=\"noopener noreferrer\">redressement judiciaire,<\/a><\/strong><span style=\"color: #333300;\">\u00a0 que l\u2019activit\u00e9 exerc\u00e9e soit commerciale, artisanale, agricole ou ind\u00e9pendante (professions lib\u00e9rales).<\/span><\/span><\/p>\n<div class=\"encadre-style\"><span class=\"exergue\"><strong>Les dirigeants dont l\u2019entreprise fait l\u2019objet d\u2019une proc\u00e9dure de sauvegarde sont exclus<\/strong><\/span> car cette derni\u00e8re suppose une absence de cessation de paiements et donc de gestion \u00ab\u00a0anormale\u00a0\u00bb. De plus, on cherche \u00e0 rendre cette proc\u00e9dure attractive et privil\u00e9gier la pr\u00e9vention des difficult\u00e9s.<\/div>\n<p>En revanche, il peut s\u2019agir aussi bien des <span class=\"exergue\"><strong>dirigeants de droit<\/strong><\/span> (g\u00e9rant de SARL, pr\u00e9sident de SAS, membre du conseil d\u2019administration, EIRL\u2026) que des <span class=\"exergue\"><strong>dirigeants de fait<\/strong><\/span> (personnes exer\u00e7ant les fonctions de direction sans \u00eatre \u00ab\u00a0officiellement\u00a0\u00bb dirigeant). Ici, la loi ne fait aucune distinction et <span class=\"exergue\"><strong>on recherchera la responsabilit\u00e9 de ceux qui dirigeaient effectivement l\u2019entreprise.<\/strong><\/span><\/p>\n<h2><span style=\"color: #008000;\"><strong>Quel risque du dirigeant en proc\u00e9dure collective ? Les sanctions encourues<\/strong><\/span><\/h2>\n<p>Le risque du dirigeant en proc\u00e9dure collective ? Les sanctions encourues sont de deux natures. <span class=\"exergue\"><strong>Il peut s\u2019agir de sanctions d\u2019ordre professionnel mais \u00e9galement de sanctions p\u00e9nales.<\/strong><\/span><\/p>\n<h3><span style=\"text-decoration: underline;\"><strong>Les sanctions professionnelles<\/strong><\/span><\/h3>\n<h4><em><span style=\"text-decoration: underline;\">Le comblement de passif<\/span><\/em><\/h4>\n<p>Le redressement et la liquidation judiciaire d\u2019une entreprise se soldent souvent par une cl\u00f4ture pour insuffisance d\u2019actif, l\u2019entreprise ne pouvant plus faire face \u00e0 ses dettes (<strong>\u00e9tat de cessation des paiements<\/strong>). Dans ce cas, s\u2019il appara\u00eet que cet \u00e9tat est d\u00fb ou a \u00e9t\u00e9 aggrav\u00e9 par une <span class=\"exergue\"><strong>mauvaise gestion de la part du dirigeant, ce dernier peut \u00eatre tenu responsable et \u00eatre condamn\u00e9 \u00e0 combler le passif (payer les dettes de l\u2019entreprise) avec ses deniers personnels.<\/strong><\/span><\/p>\n<h4><em><span style=\"text-decoration: underline;\">La faillite personnelle<\/span><\/em><\/h4>\n<p><span class=\"exergue\"><strong>Elle peut \u00eatre prononc\u00e9e \u00e0 l\u2019encontre des dirigeants de <a title=\"Qu\u2019est-ce qu\u2019une personne morale ?\" href=\"https:\/\/valoxy.org\/blog\/personne-morale\/\" target=\"_blank\" rel=\"noopener noreferrer\">personnes morales<\/a> ou \u00e0 l\u2019encontre d\u2019un EIRL si sont constat\u00e9s des faits de gestion \u00ab anormale \u00bb,<\/strong><\/span> comme l\u2019abus de biens sociaux, l\u2019augmentation frauduleuse de passif, l\u2019absence de d\u00e9claration de la cessation de paiements,\u2026 (voir la liste des cas aux articles <a href=\"http:\/\/www.legifrance.gouv.fr\/affichCodeArticle.do?cidTexte=LEGITEXT000005634379&amp;idArticle=LEGIARTI000006239254&amp;dateTexte=&amp;categorieLien=cid\" target=\"_blank\" rel=\"noopener noreferrer\">L 653-3 \u00e0 L 653-6 du Code de commerce<\/a>).<\/p>\n<p>Elle emporte<span class=\"exergue\"><strong> interdiction de diriger, g\u00e9rer, administrer ou contr\u00f4ler<\/strong><\/span>, directement ou indirectement, toute entreprise commerciale ou artisanale, toute exploitation agricole ou toute entreprise ayant toute autre activit\u00e9 ind\u00e9pendante, ainsi que toute personne morale.<\/p>\n<div class=\"encadre-style\">A noter que la dur\u00e9e de cette sanction est fix\u00e9e librement par le juge mais <span class=\"exergue\"><strong>ne peut exc\u00e9der 15 ans<\/strong><\/span>.<\/div>\n<p>En cas de faillite personnelle, le dirigeant peut \u00e9galement se voir interdire d\u2019exercer une fonction publique \u00e9lective. (d\u2019une dur\u00e9e maximale de 5 ans).<\/p>\n<h4><em><span style=\"text-decoration: underline;\">La \u00ab\u00a0simple\u00a0\u00bb interdiction de gestion<\/span><\/em><\/h4>\n<p>Elle peut se prononcer \u00e0 la place de la faillite personnelle. L&rsquo;interdiction a les m\u00eames effets mais constitue une peine \u00ab\u00a0alternative\u00a0\u00bb<span class=\"exergue\"><strong> \u00e0 la faillite personnelle. Elle pourra plus facilement s&rsquo;adapter en fonction des cas, qu&rsquo;il s&rsquo;agisse de la dur\u00e9e ou l\u2019\u00e9tendue de l\u2019interdiction.<\/strong><\/span><\/p>\n<h3><span style=\"text-decoration: underline;\"><strong>Les sanctions p\u00e9nales<\/strong><\/span><\/h3>\n<h4><em><span style=\"text-decoration: underline;\">La banqueroute<\/span><\/em><\/h4>\n<p>Cette sanction peut se prononcer \u00e0 l\u2019encontre des m\u00eames personnes que la faillite personnelle. Mais <span class=\"exergue\"><strong>sont \u00e9galement concern\u00e9es les personnes morales<\/strong><\/span> (dirigeantes d\u2019autres soci\u00e9t\u00e9s qui seraient plac\u00e9es en redressement ou liquidation judiciaire) <span class=\"exergue\"><strong>et les \u00e9ventuels complices<\/strong><\/span> qui ne pourraient \u00eatre concern\u00e9s par la faillite personnelle.<\/p>\n<p>Sont coupables de banqueroute, les personnes ayant <span class=\"exergue\"><strong>tent\u00e9 d\u2019\u00e9viter ou de retarder le redressement judiciaire, d\u00e9tourn\u00e9 ou dissimul\u00e9 tout ou partie de l\u2019actif, frauduleusement augment\u00e9 le passif, tenu une comptabilit\u00e9 fictive ou manifestement incompl\u00e8te.<\/strong><\/span> (voir la liste \u00e0 l\u2019article <a href=\"http:\/\/www.legifrance.gouv.fr\/affichCodeArticle.do?cidTexte=LEGITEXT000005634379&amp;idArticle=LEGIARTI000006239362&amp;dateTexte=&amp;categorieLien=cid\" target=\"_blank\" rel=\"noopener noreferrer\">L 654-2 du Code de commerce<\/a>).<\/p>\n<p>Cette sanction <span class=\"exergue\"><strong>peut \u00eatre cumul\u00e9e<\/strong><\/span> avec la faillite personnelle ou l\u2019interdiction de gestion.<\/p>\n<div class=\"encadre-style\">La banqueroute est une <span class=\"exergue\"><strong>infraction p\u00e9nale punie de 5 ans d\u2019emprisonnement et de 75\u00a0000 euros d\u2019amende<\/strong><\/span>. Les complices (personnes physiques) risquent la m\u00eame chose. Les personnes morales (soci\u00e9t\u00e9s) risquent jusqu\u2019\u00e0 5 fois plus.<\/div>\n<h4><em><span style=\"text-decoration: underline;\">Les autres sanctions p\u00e9nales<\/span><\/em><\/h4>\n<p>Ces autres sanctions sont list\u00e9es \u00e0 l\u2019article <a href=\"http:\/\/www.legifrance.gouv.fr\/affichCodeArticle.do;jsessionid=63DFBCC318CE7D94CE692189EA8A34C5.tpdila12v_1?idArticle=LEGIARTI000019293743&amp;cidTexte=LEGITEXT000005634379&amp;dateTexte=20150715&amp;categorieLien=id&amp;oldAction=&amp;nbResultRech=\" target=\"_blank\" rel=\"noopener noreferrer\">L 654-5 du Code de commerce<\/a>. Mais elles ne constituent que des <span class=\"exergue\"><strong>peines compl\u00e9mentaires.<\/strong><\/span> (comme par exemple la suspension des droits civiques ou encore l\u2019exclusion des march\u00e9s publics).<\/p>\n<h2><span style=\"color: #008000;\"><strong>Quel est le tribunal comp\u00e9tent\u00a0?<\/strong><\/span><\/h2>\n<p>En ce qui concerne les sanctions civiles (professionnelles), le tribunal qui a ouvert la proc\u00e9dure collective est comp\u00e9tent.
